These Terms & Conditions ("Terms") govern your access to and use of the websites, mobile applications, e‑commerce portals, and direct selling program (collectively, the "Services") operated by Prosaj Wellness Marketing Pvt. Ltd. ("Prosaj Wellness," "we," "us," or "our"). By accessing or using the Services, purchasing our products, or enrolling as an Independent Distributor ("Distributor"), you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Eligibility

1.1 Age & Capacity – You must be at least 18 years old and have the legal capacity to enter into a binding contract under applicable law.

1.2 Residency & Compliance – Distributors must reside in jurisdictions where Prosaj Wellness operates and comply with all relevant laws and our Policies & Procedures.

2. Account Registration & Security

2.1 Accurate Information – You agree to provide true, current, and complete information during registration and to update it promptly.

2.2 Credentials – You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorised use.

3. Product Purchases & Payment

3.1 Orders – All orders are subject to acceptance and availability. We may limit or refuse orders at our discretion.

3.2 Pricing – Prices are listed in Indian Rupees (INR) unless stated otherwise. Taxes, shipping, and handling charges will be added as applicable.

3.3 Payment Methods – We accept credit/debit cards, UPI, net banking, and other methods displayed at checkout. You authorise Prosaj Wellness or its payment processor to charge the selected payment method for the total amount.

3.4 Title & Risk – Title to products passes upon full payment; risk of loss transfers upon delivery to the carrier.

4. Shipping, Returns & Refunds

4.1 Delivery – Estimated delivery times are provided for convenience. Delays may occur due to factors beyond our control.

4.2 Return Policy – Unopened products may be returned within 30 days of purchase for a refund or exchange, subject to our Return Guidelines.

4.3 Refunds – Refunds are issued to the original payment method within 14 business days after we receive and inspect returned items.

5. Distributor Agreement

5.1 Additional Documents – Distributors are also bound by the Distributor Agreement, Compensation Plan, and Policies & Procedures (collectively, the "Distributor Documents").

5.2 Independent Contractor Status – Distributors are independent contractors—not employees, agents, or partners of Prosaj Wellness.

5.3 Business Conduct – Distributors must:

• Accurately represent Prosaj Wellness products and opportunities.

• Refrain from making unapproved medical or income claims.

• Comply with all applicable laws, including consumer protection and anti‑money‑laundering regulations.

5.4 Termination – We may suspend or terminate a Distributor account for breach of these Terms or Distributor Documents, fraud, or misconduct.

6. Intellectual Property

6.1 Ownership – All content, trademarks, logos, product images, and software are the exclusive property of Prosaj Wellness or its licensors.

6.2 Limited Licence – We grant you a non‑exclusive, non‑transferable, revocable licence to access and use the Services for personal or approved business use in accordance with these Terms.

6.3 Restrictions – You may not copy, modify, reverse‑engineer, or create derivative works from the Services without prior written consent.

7. Prohibited Conduct

You agree not to:

• Violate any applicable law or regulation.

• Post or transmit harmful, defamatory, or infringing content.

• Interfere with or disrupt the integrity or performance of the Services.

• Use automated scripts to collect data or interact with the Services without permission.

8. Disclaimer of Warranties

The Services and products are provided “as is” and “as available.” To the fullest extent permitted by law, Prosaj Wellness disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

9. Limitation of Liability

To the maximum extent allowed by law, Prosaj Wellness shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or related to your use of the Services or products. Our aggregate liability shall not exceed the amount paid by you for the product or service giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Prosaj Wellness, its directors, officers, employees, and affiliates from any claims, damages, or expenses arising out of your breach of these Terms, violation of law, or misuse of the Services.

11. Governing Law & Dispute Resolution

11.1 Governing Law – These Terms are governed by the laws of India, without regard to conflict‑of‑law principles.

11.2 Jurisdiction – Courts in Bargarh, Odisha, shall have exclusive jurisdiction over disputes arising from these Terms.

11.3 Arbitration – For Distributor disputes exceeding ₹50,000, parties shall first attempt amicable resolution and, failing that, refer the matter to a sole arbitrator appointed in accordance with the Arbitration & Conciliation Act, 1996.

12. Changes to Terms

We may update these Terms periodically. Significant changes will be notified via email or a prominent notice on our website. Continued use of the Services after such changes constitutes acceptance.
